Terms of Service
These Terms of Service ("Terms") govern your access to and use of the WhatsApp Dashboard service (the "Service") provided by [COMPANY_NAME] ("we", "us", "our"). By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms.
1. The Service
The Service provides a multi-tenant dashboard for managing WhatsApp conversations across multiple linked numbers, including features for assigning chats to teammates, adding internal notes, and sending scheduled bulk messages with anti-ban safeguards. The Service connects to WhatsApp through an unofficial WhatsApp Web protocol and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., WhatsApp Inc., or any of their affiliates.
2. WhatsApp risk acknowledgement
You acknowledge and accept that:
- The Service is not an authorised WhatsApp Business Solution Provider. Linking a number to the Service is a use of WhatsApp that may violate WhatsApp's own Terms of Service.
- Meta and WhatsApp may suspend or permanently ban any number linked to the Service at any time, with or without notice. We have no control over and accept no responsibility for such bans, suspensions, or any consequences arising from them.
- You are solely responsible for compliance with WhatsApp's Terms of Service, Business Policy, and Commerce Policy with respect to your own use of the Service and any messages you send through it.
3. Eligibility and accounts
You must be at least 18 years old to use the Service. You agree to provide accurate registration information and to keep your credentials confidential. You are responsible for all activity under your account, including activity by your teammates whom you invite to your workspace. The Service is currently in closed beta; access is granted by invitation or via an allowlisted email address.
4. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated by reference into these Terms. We may suspend or terminate your access for violations of that policy at our sole discretion, with or without notice.
5. Customer data and encryption
Chat content (chat names, last message previews, message bodies, sender names, and internal notes) is encrypted at rest with AES-256-GCM using a per-workspace data encryption key. Phone numbers, message identifiers, and timestamps are stored in plaintext to make queries possible. You retain all rights to your customer data; you grant us a limited, non-exclusive licence to host, transmit, and process it solely to operate the Service. We do not sell your customer data to third parties.
6. Sub-processors
The Service uses the following sub-processors:
- Supabase Inc. (USA) — authentication, Postgres database, hosting of encrypted chat data
- Railway Corp. (USA) — backend application hosting and persistent volumes for WhatsApp session credentials
- Vercel Inc. (USA) — frontend hosting and edge delivery
- Sentry (Functional Software, Inc.) (USA) — error reporting (only if enabled)
We may add or change sub-processors with reasonable notice. You can request a current sub-processor list at any time.
7. Service availability
We use commercially reasonable efforts to keep the Service available but make no guarantee of uptime, and we do not offer a Service Level Agreement during the closed beta. The Service may be unavailable for scheduled maintenance, force majeure events, or due to upstream provider outages (including Meta/WhatsApp protocol changes that block Baileys-based clients).
8. Fees
The Service is currently free during the closed beta. We may begin charging fees with at least 30 days' notice. You may cancel at any time before the new fees take effect by deleting your workspace.
9. Termination
You may terminate your account at any time by deleting your workspace. We may suspend or terminate your access for any breach of these Terms, the Acceptable Use Policy, or applicable law. On termination we will delete your encrypted customer data within 30 days, except where retention is required by law.
10. Disclaimers and limitation of liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU HAVE PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED USD (100 USD), WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST GOODWILL ARISING FROM A WHATSAPP NUMBER BAN.
11. Indemnity
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising out of your messages, your use of the Service in violation of these Terms, or your violation of WhatsApp's own terms or applicable law.
12. Changes
We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
13. Governing law
These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-laws principles. Disputes will be resolved in the courts located in [VENUE].
